1. Introduction and Acceptance of Terms

These Terms of Service ("Agreement") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("User" or "you"), and Office AI Agents ("Company," "we," "us," or "our"), concerning your access to and use of the officeaiagents.com website and any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the "Site" and "Services").
1.2. By accessing, browsing, or using the Site and Services, you hereby acknowledge that you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these Terms of Service, then you are expressly prohibited from using the Site and Services and must discontinue use immediately.
1.3. Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. Reverse engineering, decompiling, disassembling, or otherwise attempting to discover the source code of the Services. e. Using the Services to generate or disseminate misinformation, harassment, hate speech, or content that promotes violence or discrimination.
3.3. Compliance with Laws: You shall comply with all applicable local, state, national, and international laws and regulations in connection with your use of the Services.
4. Proprietary Rights and Data
4.1. Office AI Agents' Intellectual Property: All content, features, and functionality on the Site and within the Services, including but not limited to text, graphics, logos, images, software, and the compilation thereof, are the exclusive property of Office AI Agents or its licensors and are protected by intellectual property laws.
4.2. User Data and Content: You retain all rights to any data, information, or content ("User Input") you submit, post, or display on or through the Services. By submitting User Input, you grant Office AI Agents a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Input solely for the purpose of providing and improving the Services.
4.3. AI-Generated Output: Output generated by the Services based on your User Input shall be owned by you. However, Office AI Agents makes no representations or warranties regarding the originality, non-infringement, or fitness for a particular purpose of such output, and you assume all risks associated with its use.
5. Disclaimers of Warranties and Limitation of Liability
5.1. Disclaimer of Warranties: THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. OFFICE AI AGENTS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE.
5.2. Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OFFICE AI AGENTS, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF OFFICE AI AGENTS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES. OFFICE AI AGENTS' TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID TO OFFICE AI AGENTS FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
6. Indemnification
6.1. You agree to indemnify, defend, and hold harmless Office AI Agents, its affiliates, officers, directors, employees, consultants, and agents from any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from your use of the Services, your breach of these Terms of Service, your violation of any law, or your infringement of any third-party rights.
7. Term and Termination
7.1. This Agreement shall remain in full force and effect while you use the Services. You may terminate your account at any time by contacting us at [email protected].
7.2. We reserve the right to suspend or terminate your access to the Services, in our sole discretion, without notice and without liability, if you violate these Terms of Service, engage in any fraudulent, abusive, or illegal activity, or for any other reason.
7.3. Upon termination, all provisions of these Terms of Service which by their nature should survive termination, including, without limitation, intellectual property provisions, warranty disclaimers, indemnity, and limitations of liability, shall remain in full force and effect.
8. Governing Law and Dispute Resolution
8.1. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
8.2. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the federal or state courts located in Delaware, and you hereby consent to the personal jurisdiction and venue therein.
9. General Provisions
9.1. Entire Agreement: These Terms of Service, together with any policies or operating rules posted by us on the Site or in respect to the Services, constitute the entire agreement and understanding between you and Office AI Agents.
9.2. Severability: If any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, without affecting the validity and enforceability of any other remaining provisions.
9.3. Waiver: Our failure to exercise or enforce any right or provision of these Terms of Service shall not operate as a waiver of such right or provision.
9.4. Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without Office AI Agents' prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. Office AI Agents may freely assign or transfer these Terms without restriction.
9.5. Changes to Terms: We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Services following the posting of any changes to these Terms of Service constitutes acceptance of those changes.
